Select how often (in days) to receive an alert: Title: Associate General Counsel - Mergers and Acquisitions Location: Mason, OH, US, 45040 Requisition Number: 186528 Job Description Cintas is seeking an Associate General Counsel - Mergers and Acquisitions (M&A). The Associate General Counsel- Mergers and Acquisitions reports directly to the Senior Vice President, Secretary & General Counsel and is responsible for leading all legal-related merger and acquisition (M&A) activities throughout the United States and Canada, including drafting and negotiating Asset Purchase Agreements, Stock Purchase Agreements, Non-Competes, and other ancillary transaction documents. Responsibilities also include coordinating and overseeing legal due diligence and working with the Company’s M&A team to coordinate transaction matters on an enterprise-wide basis. In the event external legal counsel is utilized for a M&A transaction, responsibility will include managing outside M&A counsel. Skills/Qualifications Required: Must have a Juris Doctorate degree, be admitted to a state bar and possess no less than a total of eight (8) years of full-time responsible, relevant M&A and corporate legal experience. High proficiency with technology, including Microsoft Office Suite applications, Adobe Acrobat, and internet search tools. Excellent written and oral communications skills, excellent negotiation skills, superior problem-solving ability and strong analytical skills Proven organizational skills including managing numerous transactions and projects at once, while ensuring quality and efficiency Ability to draft and negotiate complex transaction documents and contracts High attention to detail.
